By accessing, browsing, or otherwise using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Website.

We reserve the right to update or modify these Terms at any time in accordance with Section 14 below. Your continued use of the Website following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for updates.

If you are accessing the Website on behalf of a governmental entity, municipality, or other organization, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, “you” and “your” shall refer to both you individually and the entity you represent.

The Website serves as an informational and marketing resource for Prisiops, LLC and its managed zoning intelligence services. The Website provides the following functionality:

1. Information about ZonnyAI’s AI-powered zoning intelligence managed service, including descriptions of its data ingestion, custom fine-tuning, and managed deployment processes;
2. Educational content regarding the benefits and capabilities of AI-driven zoning analysis for municipal governments;
3. A demo scheduling form that allows prospective municipal clients to request a consultation with ZonnyAI representatives; and
4. General company information, including contact details and related resources.

The Website is a static informational site. It does not provide user accounts, payment processing, e-commerce capabilities, or direct access to the ZonnyAI Platform. No AI-powered zoning analysis, zoning intelligence queries, or automated decision-making is performed through the Website.

The Website is intended for use by municipal government officials and representatives, including but not limited to personnel in Planning and Zoning departments, Building departments, City Administration, and IT/GIS departments. While the Website is publicly accessible, its content, services, and demo scheduling functionality are designed for and directed toward authorized representatives of municipal and local government entities within the United States.

By using the Website, you represent that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Website on behalf of a municipality or governmental entity, you further represent that you are duly authorized to act on behalf of such entity.

In connection with your use of the Website, you agree to the following obligations:

(a) Lawful Use. You shall use the Website only for lawful purposes and in accordance with these Terms. You shall not use the Website in any manner that could damage, disable, overburden, or impair the Website or interfere with any other party’s use and enjoyment of the Website.

(b) Accuracy of Information. When submitting information through the demo scheduling form or any other means on the Website, you agree to provide accurate, current, and complete information. You shall not submit false, misleading, or fraudulent information.

(c) Prohibited Conduct. You shall not:

1. Attempt to gain unauthorized access to any portion of the Website, its servers, or any systems or networks connected to the Website;
2. Use any automated system, including but not limited to robots, spiders, scrapers, or offline readers, to access the Website in a manner that sends more request messages to the Website servers than a human can reasonably produce in the same period of time using a conventional web browser;
3. Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature through or to the Website;
4. Use the Website to harvest, collect, or gather personally identifiable information of other users or visitors;
5. Use the Website for any purpose that is unlawful, fraudulent, or prohibited by these Terms; or
6. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Website or any component thereof.

(a) Ownership. The Website and all of its content, features, and functionality, including but not limited to all text, graphics, logos, trademarks, service marks, trade names, images, icons, software, designs, the “ZonnyAI” name and brand, and the underlying code and architecture, are and shall remain the exclusive property of Prisiops, LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

(b) Limited License. Subject to your compliance with these Terms, ZonnyAI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website solely for its intended informational purposes. This license does not include any right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Website, except as follows:

1. Your computer or device may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
2. You may store files that are automatically cached by your web browser for display enhancement purposes; and
3. You may print or download a reasonable number of pages of the Website for your own personal, non-commercial, informational use and not for further reproduction, publication, or distribution.

(c) Restrictions. You shall not modify copies of any materials from the Website, use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text, or delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website.

(d) No Implied Rights. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted herein are reserved by ZonnyAI. Any use of the Website not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

(a) Purpose. The Website includes a demo scheduling form that enables prospective municipal clients to request a consultation with ZonnyAI. The form collects the following information: first name, last name, work email address, municipality name, and department (e.g., Planning and Zoning, Building Department, City Administration, IT/GIS, or Other).

(b) No Obligation. Submitting a demo scheduling request does not create a contractual obligation on the part of either party. It does not constitute a binding agreement for services, a commitment to purchase, or a guarantee that a demo or consultation will be scheduled at any particular time. ZonnyAI reserves the right to accept, decline, or prioritize demo requests in its sole discretion.

(c) Data Handling. Information submitted through the demo scheduling form will be collected, used, and handled in accordance with our Privacy Policy. By submitting a demo request, you consent to ZonnyAI contacting you at the work email address provided for the purpose of scheduling and conducting the requested consultation, as well as providing related follow-up communications about ZonnyAI’s services.

(d) No Payment Required. The demo scheduling process does not require payment or credit card information. No charges will be assessed in connection with submitting a demo request.

(e) Government Communications. You acknowledge that ZonnyAI may use the information you provide to send communications related to the requested consultation and ZonnyAI’s services for municipal government. You may opt out of non-essential communications at any time by contacting governments@zonny.ai.

(a) Separate Agreements. The ZonnyAI Platform—including, but not limited to, the ingestion of municipal zoning codes, GIS maps, and historical variance data; the fine-tuning of large language models on local ordinances; the deployment of dedicated AI instances; and all related managed services—is governed exclusively by separate written agreements between ZonnyAI and the subscribing municipality. Such agreements may include, without limitation, Master Service Agreements, Service Level Agreements, Data Processing Agreements, and Business Associate Agreements (collectively, “Service Agreements”).

(b) No Platform Access Through the Website. The Website does not provide access to the ZonnyAI Platform. No municipal data is ingested, processed, stored, or analyzed through the Website. The Website is solely an informational and marketing resource and a means to request a demo consultation.

(c) Data Protection. ZonnyAI is committed to the security and confidentiality of municipal data processed through its Platform. However, all data protection obligations, security commitments, compliance requirements, and related terms applicable to the Platform are defined exclusively in the applicable Service Agreements and not in these Terms.

(a) “As Is” Basis.

THE WEBSITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

(b) Disclaimer.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZONNYAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZONNYAI DOES NOT WARRANT THAT:

1. THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
2. THE INFORMATION, CONTENT, OR MATERIALS ON THE WEBSITE ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR FREE OF ERRORS;
3. ANY DEFECTS OR ERRORS IN THE WEBSITE WILL BE CORRECTED;
4. THE WEBSITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
5. THE RESULTS OBTAINED FROM THE USE OF THE WEBSITE WILL MEET YOUR REQUIREMENTS.

(c) Informational Content. All descriptions of ZonnyAI’s services, capabilities, processes, and benefits presented on the Website are provided for general informational and marketing purposes only. They do not constitute guarantees, representations, or warranties of performance, and actual results may vary based on the specific circumstances of each municipality and the terms of the applicable Service Agreement.

(d) No Professional Advice. Nothing on the Website constitutes legal advice, zoning advice, professional planning guidance, regulatory interpretation, or any other form of professional counsel. You should not act or refrain from acting based on any information obtained from the Website without first seeking appropriate professional advice from a qualified attorney or licensed professional.

(a) Exclusion of Certain Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZONNYAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ZONNYAI HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

(b) Aggregate Liability Cap. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ZONNYAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).

(c) Essential Purpose. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY OR DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF ZONNYAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

(d) Applicability. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages or certain implied warranties. In such jurisdictions, the foregoing limitations and exclusions shall apply to the maximum extent permitted by applicable law.

(e) Government Entity Considerations. Nothing in these Terms is intended to waive or limit any rights, immunities, or protections that may be available to governmental entities under applicable law, including but not limited to sovereign immunity protections.

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Prisiops, LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

1. Your use of the Website in violation of these Terms;
2. Your violation of any applicable law, rule, regulation, or third-party right in connection with your use of the Website;
3. Any information you submit through the Website, including but not limited to information submitted through the demo scheduling form, that is inaccurate, misleading, or fraudulent; or
4. Your negligence or willful misconduct in connection with your use of the Website.

This indemnification obligation shall survive the termination of these Terms and your cessation of use of the Website. ZonnyAI reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with ZonnyAI in asserting any available defenses. Nothing in this Section shall require indemnification to the extent prohibited by applicable law, including laws governing governmental entities.

(a) Third-Party Links. The Website may contain links to third-party websites, services, or resources that are not owned or controlled by ZonnyAI. Such links are provided solely for convenience and informational purposes. ZonnyAI has no control over, and assumes no responsibility for, the content, privacy policies, practices, availability, or security of any third-party websites or services.

(b) No Endorsement. The inclusion of any link to a third-party website or service on the Website does not imply endorsement, approval, or recommendation by ZonnyAI of such website, service, or its operator.

(c) Third-Party Technologies. The Website may utilize third-party technologies, including but not limited to web fonts, content delivery networks, and analytics services. Your use of the Website is subject to the terms and policies of such third-party providers to the extent applicable.

(d) Assumption of Risk. Your interactions with any third-party websites, services, or resources accessed through the Website are solely between you and such third party. ZonnyAI shall not be responsible or liable for any loss, damage, or harm of any kind arising from or in connection with any such interactions.

(a) Governing Law. These Terms and any dispute arising out of or relating to these Terms, the Website, or your use of the Website shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

(b) Jurisdiction and Venue. You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Website shall be brought exclusively in the state or federal courts located in Collin County, Texas. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction and venue, including on the basis of forum non conveniens.

(c) Informal Resolution. Before initiating any formal legal proceeding, you agree to first contact ZonnyAI at governments@zonny.ai and attempt to resolve any dispute informally for a period of at least thirty (30) days. ZonnyAI shall similarly attempt to resolve any dispute with you informally before initiating legal proceedings.

(d) Government Entity Provisions. ZonnyAI acknowledges that certain governmental entities may be subject to statutory requirements regarding dispute resolution, venue, and applicable law. To the extent that any provision of this Section conflicts with applicable law governing a governmental entity’s ability to agree to dispute resolution terms, such provision shall be modified to the minimum extent necessary to comply with applicable law, and the remaining provisions shall continue in full force and effect.

(e) Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE.

Your use of the Website is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose information obtained through the Website, including information submitted through the demo scheduling form. The Privacy Policy is incorporated into these Terms by reference. By using the Website, you consent to the collection and use of your information as described in the Privacy Policy. Please review our Privacy Policy before using the Website.

(a) Right to Modify. ZonnyAI reserves the right, in its sole discretion, to modify, amend, supplement, or replace these Terms at any time.

(b) Notice of Changes. If we make material changes to these Terms, we will update the “Effective Date” at the top of this document and, where practicable, provide notice through the Website or by other reasonable means. We encourage you to review these Terms periodically.

(c) Acceptance of Modifications. Your continued use of the Website after the posting of revised Terms constitutes your acceptance of such revised Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Website.

(d) Prior Versions. In the event of a dispute regarding the Terms applicable at any particular time, ZonnyAI will make prior versions of these Terms available upon request.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties to the greatest extent possible. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall be enforced as if the severed provision had not been included.

These Terms, together with the Privacy Policy and any other legal notices or policies published by ZonnyAI on the Website, constitute the entire agreement between you and ZonnyAI with respect to your use of the Website and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

For the avoidance of doubt, these Terms do not constitute the entire agreement between any municipality and ZonnyAI with respect to the ZonnyAI Platform or managed services. The Platform and managed services are governed exclusively by separate Service Agreements as described in Section 7. In the event of any conflict between these Terms and an applicable Service Agreement, the Service Agreement shall control with respect to the subject matter of such Service Agreement.

The failure of ZonnyAI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of ZonnyAI. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms, or any rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of ZonnyAI. ZonnyAI may assign or transfer these Terms, or any rights or obligations hereunder, without restriction and without notice to you. Any attempted assignment or transfer in violation of this Section shall be null and void. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.
